Welcome to Schedio. These Terms of Service ("Terms") govern your access to and use of the Schedio platform. By accessing or using our services, you agree to be bound by these Terms.

1. Definitions
For the purposes of these Terms:
- "Service" refers to the Schedio appointment scheduling platform, including all associated features, tools, and APIs.
- "User" refers to any individual who accesses or uses the Service.
- "Tenant" refers to a business or individual who has created an account to manage appointments through Schedio.
- "Customer" refers to end-users who book appointments with Tenants through the Service.
- "Content" refers to any data, text, images, or other materials uploaded to or created through the Service.
- "We," "Us," "Our" refers to Schedio and its operators.
2. Account Terms
2.1 Registration Requirements
To use certain features of the Service, you must create an account. When registering, you agree to:
- Provide accurate, current, and complete information
- Maintain and promptly update your account information
- Be at least 18 years of age or the legal age of majority in your jurisdiction
- Have the legal authority to enter into this agreement
2.2 Account Responsibilities
You are responsible for:
- All activities that occur under your account
- Maintaining the confidentiality of your login credentials
- Notifying us immediately of any unauthorized access to your account
- Ensuring that your use of the Service complies with all applicable laws
2.3 Password Security
You must choose a strong password and keep it secure. We recommend using a unique password that you don't use for other services. We are not liable for any loss or damage arising from your failure to maintain the security of your account credentials.
3. Service Description
3.1 What Schedio Provides
Schedio is a cloud-based appointment scheduling platform that enables businesses to:
- Manage staff schedules and availability
- Accept and manage appointment bookings
- Send automated notifications and reminders
- Access booking data through our API
- Generate reports and analytics
3.2 Service Availability
We strive to maintain high availability of our Service. However, we do not guarantee uninterrupted access. The Service may be temporarily unavailable due to:
- Scheduled maintenance (with advance notice when possible)
- Emergency maintenance
- Factors beyond our control
3.3 Multi-Tenant Environment
Schedio operates as a multi-tenant platform. Your data is logically separated from other Tenants' data, and we implement appropriate security measures to maintain this separation.
4. Acceptable Use
4.1 Permitted Activities
You may use the Service for its intended purpose of managing appointments and related business operations.
4.2 Prohibited Activities
You agree not to:
- Use the Service for any illegal purpose or in violation of any laws
- Send spam or unsolicited communications through the Service
- Harass, abuse, or harm other users
- Attempt to gain unauthorized access to any part of the Service
- Interfere with or disrupt the Service or servers
- Circumvent rate limits or usage restrictions
- Scrape or collect data from the Service without permission
- Impersonate any person or entity
4.3 API Usage
If you use our API, you must comply with our API documentation and respect rate limits. Excessive or abusive API usage may result in throttling or suspension.
5. Payment Terms
5.1 Pricing and Billing
Paid plans are billed in advance on a monthly or annual basis. All fees are non-refundable except as expressly stated in our Refund Policy.
5.2 Auto-Renewal
Subscriptions automatically renew at the end of each billing period unless cancelled. You may cancel at any time through your account settings.
5.3 Price Changes
We may change our prices with 30 days' notice. Price changes will take effect at your next billing cycle.
5.4 Late Payments
If payment fails, we may suspend your access to paid features until payment is received. Accounts with outstanding balances may be subject to collection actions.
6. Intellectual Property
6.1 Schedio's Rights
The Service, including its original content, features, and functionality, is owned by Schedio and is protected by copyright, trademark, and other intellectual property laws.
6.2 Your Content
You retain ownership of any Content you upload to the Service. By uploading Content, you grant us a limited license to store, process, and display that Content as necessary to provide the Service.
6.3 Feedback
If you provide feedback or suggestions about the Service, we may use them without any obligation to you.
7. Data Handling
7.1 Privacy Policy
Our collection and use of personal information is governed by our Privacy Policy, which is incorporated into these Terms by reference.
7.2 Data Retention
We retain your data for as long as your account is active or as needed to provide the Service. See our Privacy Policy for detailed retention periods.
7.3 Data Isolation
As a multi-tenant platform, we implement strict data isolation measures. Your data is only accessible to you and authorized users within your organization.
8. Termination
8.1 Termination by You
You may cancel your account at any time through your account settings or by contacting support. Upon cancellation, you will retain access until the end of your current billing period.
8.2 Termination by Us
We may suspend or terminate your access to the Service if you:
- Violate these Terms or our Acceptable Use Policy
- Fail to pay fees when due
- Engage in fraudulent or illegal activity
- Upon reasonable notice if we discontinue the Service
8.3 Effect of Termination
Upon termination:
- Your right to use the Service ceases immediately
- We may delete your data after a reasonable retention period (typically 30 days)
- You may request a data export before deletion
- Provisions that by their nature should survive will survive termination
9. Disclaimers & Limitations
9.1 "As Is" Basis
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
9.2 Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, SHEDIO SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY, OR ANY LOSS OF DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES.
OUR TOTAL LIABILITY FOR ANY CLAIMS ARISING FROM OR RELATED TO THESE TERMS OR THE SERVICE SHALL NOT EXCEED THE AMOUNT YOU PAID US IN THE 12 MONTHS PRECEDING THE CLAIM.
9.3 Indemnification
You agree to indemnify and hold harmless Schedio and its officers, directors, employees, and agents from any claims, damages, or expenses arising from your use of the Service or violation of these Terms.
10. Dispute Resolution
10.1 Governing Law
These Terms are governed by the laws of the jurisdiction in which Schedio operates, without regard to conflict of law principles.
10.2 Informal Resolution
Before initiating formal dispute resolution, you agree to contact us and attempt to resolve any dispute informally.
10.3 Arbitration
Any disputes that cannot be resolved informally shall be resolved through binding arbitration, except where prohibited by law. You waive the right to participate in class action lawsuits or class-wide arbitration.
11. Changes to Terms
We may update these Terms from time to time. We will notify you of material changes by:
- Posting the updated Terms on our website
- Sending an email to the address associated with your account
- Displaying a notice within the Service
Your continued use of the Service after changes become effective constitutes acceptance of the new Terms.
